Organon to sell Jada postpartum haemorrhage device

Women’s heath firm Organon has agreed to divest its Jada postpartum uterine bleeding system to Laborie Medical Technologies in a deal worth up to US$465m, as the company moves to cut debt.
Organon obtained Jada through its 2021 purchase of Alydia Health, the same year it was spun out of Merck.
The device uses vacuum suction to stimulate natural uterine contraction, helping control postpartum haemorrhage.
The company said it is selling the unit to advance its deleveraging plans. Under the terms, Laborie will pay US$440m at closing, with up to US$25m tied to the business’s 2026 revenue performance.
Around 100 Organon employees who work on Jada are expected to join Laborie. The buyer’s portfolio includes Optilume BPH, a catheter system for benign prostatic hyperplasia, and LifeBubble, an umbilical catheter securement device.
Organon reported that Jada sales rose 40 per cent year over year (excluding foreign-exchange effects) to US$61m in 2024. The company is due to report third-quarter results next week.
“This transaction puts Jada in the hands of Laborie, a leading medical technology innovator with an established history in maternal health, that is well-positioned to further expand access to Jada for the benefit of mothers globally,” Organon interim CEO Joseph Morrissey said.
“It is also another step towards improving capacity in Organon’s balance sheet to be able to pursue other growth opportunities in women’s health biopharma in the future,” Morrissey added.
Organon has faced a difficult year, with NuvaRing sales hit by generic competition and softer demand in its fertility portfolio. In July, an endometriosis candidate the company had billed as a major opportunity failed a phase 2 trial, leading to the end of its clinical development. Two weeks ago, Organon said it had parted ways with its first chief executive, Kevin Ali, following an internal probe into suspect sales practices, and also dismissed its head of US commercial and government affairs.
